1. General Provisions and Definitions

1.1. These Terms and Conditions (hereinafter “Terms”) define the rules and conditions for using the ATHgrid – Multi Trading Bot software (hereinafter “Bot”) offered by [ATHgrid], hereinafter referred to as “Provider” or “Manufacturer”.

1.2. The Bot is an advanced tool for spot trading automation exclusively on the Binance exchange. We emphasize that the Bot does not store or have access to user’s funds; all trading operations are executed directly on the user’s Binance account via API keys. The user retains full control over their funds.

1.3. A User is any natural or legal person who accepts these Terms and uses the Bot.

2. Software License and Terms of Use

2.1. Upon purchasing a subscription, the User acquires a non-exclusive, non-transferable and limited license to use the Bot according to the selected subscription plan: monthly, 3-month, semi-annual, annual, 2-year or lifetime.

2.2. The license entitles to run the Bot on a specified number of devices simultaneously, depending on the purchased plan:

• Monthly and 3-month License: 1 device simultaneously
• Semi-annual License: 2 devices simultaneously
• Annual and 2-year License: 3 devices simultaneously
• Lifetime License: 5 devices simultaneously (requires activation on each new device)

2.3. The User is strictly prohibited from reverse engineering, decompiling, modifying the Bot’s source code, distributing the Bot, sharing license keys or account access with third parties, as well as using the Bot in violation of the law or these Terms. Any breach of these conditions results in immediate and permanent license termination without refund.

2.4. All copyrights, intellectual property rights and rights to the Bot’s source code belong exclusively to the Manufacturer.

3. Full Liability Exclusion and User’s Risk

3.1. Cryptocurrency trading involves high risk of capital loss. The User acknowledges and accepts that automated trading, despite its advantages, does not completely eliminate market risk. The User bears full and sole responsibility for all trading decisions, Bot configuration, risk management and any resulting financial losses.

3.2. ATHgrid Manufacturer is not liable for any losses, damages, loss of profits or other negative consequences resulting from:

• Technical failures or interruptions in Binance exchange operation.
• Force majeure events, including but not limited to: natural disasters, power outages (blackouts), internet connection issues on user’s or exchange’s side.
• Errors in Bot configuration made by the user.
• Sudden or unpredictable market actions, including extreme volatility, price gaps, market manipulation.
• Insufficient funds on user’s Binance account to execute orders.
• Any problems related to Binance API, including limitations, authorization errors or changes in exchange policy.

3.3. API recommendation: The User is obliged to use Binance API keys with only the necessary permissions for spot trading and never activate withdrawal permissions for these keys. This is crucial for the security of user’s funds.

3.4. The Bot is a trading support tool and does not constitute investment advice or trading recommendation. The Manufacturer does not guarantee any profits or take responsibility for user’s trading results.

4. System Requirements and Recommendations

4.1. Minimum system requirements: The Bot requires Windows 10 or newer operating system, minimum 4 GB RAM and stable internet connection.

4.2. To ensure continuous and optimal Bot performance, it’s recommended to:

• Run the Bot on a dedicated device (e.g. mini PC) or in VPS (Virtual Private Server) environment. The Manufacturer does not provide technical support for third-party VPS configurations (e.g. Amazon Lightsail, Contabo), but their use is recommended for stability.
• Disable the chart in the Bot interface if its visualization is not constantly needed. This option significantly saves CPU/GPU resources, enabling more stable Bot operation, especially on less powerful devices.

4.3. The Manufacturer reserves the right to modify system requirements. The Bot may support other operating systems in the future.

5. Updates and Technical Support

5.1. The Manufacturer regularly provides Bot updates, which may include new features, bug fixes or optimizations. Some updates may be mandatory for continued proper Bot operation. The Manufacturer reserves the right to discontinue support for older Bot versions.

5.2. Technical support for Users is available via email or Telegram. We will respond as quickly as possible.

6. Privacy Policy

6.1. The Bot does not collect, store or process any sensitive financial data of the user, including account balance information, transaction history (except those generated by the Bot itself for operational purposes) or personal data other than necessary for license management. 6.2. License-related data (license key, device identifier) is collected solely for license authenticity verification and compliance with terms of use.

7. Terms Changes and Contract Termination

7.1. The Manufacturer reserves the right to unilaterally modify these Terms. Changes become effective after 14 days from their publication on the website or electronic notification to the user. Continued use of the Bot after this period constitutes acceptance of the modified Terms.

7.2. The User may cancel the subscription at any time. Cancellation is effective after the current paid billing period ends. Fees for unused subscription period are non-refundable, except in cases explicitly stated in Provider’s refund policy.

7.3. The Manufacturer reserves the right to immediately terminate the license agreement with the User and block access to the Bot in case of User’s violation of these Terms, particularly point 2.3.

8. Final Provisions

8.1. Any disputes arising from these Terms or related to Bot use, the Parties shall make every effort to resolve through amicable negotiations. If amicable resolution proves impossible, disputes will be resolved according to applicable law.

8.2. Violation of any provisions of these Terms, particularly those concerning security, license or liability, may result in immediate and permanent blocking of access to the Bot, without right to refund of paid fees.

8.3. These Terms become effective as of 01/07/2025.
